HanseYachts delists from Frankfurt Stock Exchange

HanseYachts will end trading of its shares on the Frankfurt Stock Exchange, after closing the first half of its current financial year with record figures.

The German boatbuilding group says the move will further increase its profitability. The measure, proposed by the HanseYachts AG management board, has the full support of the Aurelius Group, which is the company’s major majority shareholder with a stake of 79.4 per cent of the share capital.

As part of the termination of trading on the Frankfurt Stock Exchange, HY Beteiligungs GmbH, an Aurelius Group company, is offering the shareholders of HanseYachts AG to purchase the company’s shares at the weighted average domestic stock exchange price of the company’s shares over the last six months, as determined by the German Federal Financial Supervisory Authority (BaFin).

“We are very pleased about this demonstration of confidence from our majority shareholder Aurelius and about the fact that the strong partnership with HanseYachts is to be further expanded with the purchase offer for the free float shares,” says Hanjo Runde, CEO of HanseYachts AG.

“At the same time, we expect to save more than half a million euros a year by cancelling the stock exchange listing and significantly relieve our administration of reporting obligations that do not contribute to HanseYachts’ profitability. We can now invest the valuable resources freed up by this step in the development of new yacht models and thus in strengthening and expanding our market position,”

In a statement, HanseYachts says that admission to trading on the regulated market is associated with ‘considerable unproductive financial and personnel burdens’ for the firm. These are said to include extensive reporting obligations and time-consuming publication requirements, as well as the effort involved in preparing the financial statements. The delisting will also streamline the auditing process, the company adds.

In January 2023, HanseYachts posted its 2021/22 financial results , showing extensive losses for the period, despite significant gains in turnover, and a record order book and production volume. The firm had increased its sales prices by around 30 per cent in the 12 months prior.

Greifswald, 7 April 2021: Since its foundation in 1990, HanseYachts AG has developed into one of the largest series manufacturers of oceangoing sailing and motor yachts, as well as luxurious catamarans. The company has been listed on the stock exchange since 2007, and since 2011, the largest shareholder has been the Munich-based  Aurelius Group, which holds some 79.53% of the issued shares. HanseYachts employs around 1,500 people. Production takes place at the sites in Greifswald (Germany), Goleniow (Poland) and Les Sables-d’Olonne (France). Hanjo Runde has been appointed by the Supervisory Board as the new Chairman of the Management Board at HanseYachts AG. He will assume the new role on 1 December 2021 in order to set a course for further growth and strengthen the team as the business expands its market position and product lines. Runde studied business administration in Hamburg, Zurich and Boston.

Aurelius, new majority shareholder of Privilège Marine

Aurelius Equity Opportunities SE & Co KgaA, already owner of Hanse Yachts AG, announced on 19 May 2017 that it had acquired a majority stake in the capital of the Marine Privilege group. All the shareholders have sold their shares to the German group, except Gilles Wagner, the current CEO of Privilège Marine, who will remain in office.

The Sables d'Olonne shipyard must be maintained and expanded, according to the press release from Privilège Marine. The existing boat catalogue is also kept.

Opening to catamarans

With the acquisition of the Privilège brand, Aurelius adds catamarans to its already broad offer. Rich of 6 brands of monohulls through the Hanse group, owner of Hanse, Dehler, Moody and Varianta yachts and motor boats Fjord and Sealine, the company did not offer any catamaran. It thus sets foot in one of the most dynamic niches in boating. We can nevertheless be surprised at the alliance of a mass production boatyard with a catamaran manufacturer, more oriented towards custom.

Gert Purkert, member of the board of directors of Aurelius, confirms Hanse Yachts' interest in catamarans and explains the need for external growth in this niche. "The high-end catamaran market has experienced particularly strong growth in recent years. HanseYachts has not yet been able to participate in this development, as it was simply not possible to manufacture units of this width in existing production facilities. The Privilege brand, appreciated and recognized, will perfectly complement the HanseYachts portfolio.

Future industrial and commercial synergies

If the press release of Privilège Marine indicates that the brand remains independent, that of the Hanse group announces that it is planned in the future the purchase of the Privilège à Privilège Marine brand by Hanse Yachts, with retrocession of a licence in return.

In any event, synergies should be found between the two shipyards. Components of the Privilège catamarans, currently subcontracted, could be produced in Germany by Hanse.

Privilège Marine will benefit from the power of the Hanse Group's worldwide distribution network. Gilles Wagner, CEO of Privilège is delighted. "HanseYachts is much more important than Privilege and has a global presence. Our customers, like us, will benefit in particular from the network of distributors, firmly anchored throughout the world. Therefore, we are very much looking forward to working together with HanseYachts."

Feeling's future to be determined

The sailboat brand Feeling, owned by Privilège Marine, also joins the Aurelius range. When asked about the future of these integral dinghies, which could complement Hanse keelboats, the yard confirmed that the brand was part of the takeover, but that no additional information would be given to date.

  • AURELIUS now has a 72.5 percent shareholding in HanseYachts AG

Munich, 7 November 2011 – Aurelius Development Invest GmbH, a fully-owned subsidiary of the AURELIUS Group, Munich (ISIN: DE000A0JK2A8) published a voluntary takeover offer to the shareholders of HanseYachts AG (ISIN: DE000A0KF6M8). Prior to the expiry deadline, this offer, covering in total 7.85 percent of the nominal capital (representing 502,617 shares) of HanseYachts AG, was accepted. Together with the shares acquired from the founder and previous majority shareholder of HanseYachts AG, Michael Schmidt, AURELIUS now holds 72.5 percent of the nominal capital of this company.

HanseYachts AG was founded in 1990 and, over the past 21 years, was able to establish itself firmly as the world’s third largest manufacturer of standard sailing yachts. Since going public in March 2007, shares in HanseYachts AG have been listed in the General Standard of the Frankfurt stock exchange. During the financial year 2010/2011 (as of the 31 July 2011), the company achieved a turnover of €86.0 million.

As a consequence of current economic conditions, HanseYachts had to report negative results for the past three financial cycles. However, building on the overall economic recovery and the successful launch of new innovative models, HanseYachts was able to gain significant market share and improve its results in the financial year just passed (2010/2011). Future active support from AURELIUS is expected to bring further significant improvements in operative results. Current order input underscores this expectation.

Apart from the core brand, Hanse, the takeover of the traditional brands Dehler and Moody gives HanseYachts a strong portfolio of brands with clearly defined targets groups. In addition, HanseYachts manufactures motor yachts under the Fjord brand name, which covers an important niche segment in the market. Extensive investments over the past few years have left HanseYachts with highly advanced production facilities in Germany and in Poland.

World number two yacht builder HanseYachts AG of Greifswald is buying French luxury catamaran yard Privilège Marine SAS from its majority shareholder AURELIUS. 

Privilège was taken over by AURELIUS in June 2017. HanseYachts AG then bought the moulds of the existing yachts from the new owner and secured the marketing rights as well as the use of the brand. In addition, a consulting and purchasing agreement was concluded so that HanseYachts AG could transfer its series boatbuilding skills and the resulting sales opportunities to the renowned French shipyard. 

“After a dry spell, Privilège is about to break even,” says Dr Jens Gerhardt, CEO of HanseYachts AG. “This is the ideal time for us to take over the company completely and expand our multi-brand strategy. Privilège has a healthy order book of more than 25 million euros. The catamaran market remains attractive, it is the fastest growing of all global sailing markets and has doubled in less than 5 years. With the acquisition of Privilège, we are increasing our capacity by more than 30 million per year, giving further impetus to our long-term growth course. We also expect some uplift from the effects of synergy and the broader distribution network of HanseYachts AG. Privilège`s existing debt towards the previous shareholders will promptly be paid in ful by issuing new shares, whereby the HanseYachts AG furthermore will be strengthened. In order that our existing freefloat shareholders won`t be diluted through this measure, we offer a cash capital increase with the subscription right by 1 to 9.” 

Privilège has been a market-leading manufacturer of luxury catamarans for more than 30 years, and produces sail and motor yachts. In addition to producing excellent oceangoing yachts, the focus focus has always been on offering custom designs options. Last year, three new catamaran models were announced and marketed simultaneously under the leadership of HanseYachts AG, to drive the brand towards a successful future: The power catamaran Euphorie 5 which favorable consumption attracts long-distance skippers as well as the Privilège 510 and 580, combining luxury with bluewater sailing.

Privilège now totally benefits from the worldwide distribution network of the HanseYachts AG with its 230 dealers in 90 countries and the purchasing power of Euro 150 millions in overall sales. 

The catamarans will continue to be built in Les Sables d’Olonne on the French Atlantic coast, and the existing staff structure of some 150 employees under CEO Gilles Wagner will also be retained. The shipyard covers an area of 25,000 m2 with production halls of 15,000 m2, direct access to the Atlantic, 50m delivery dock with private access via the shipyard, and a range of six catamaran models between 50 and 75 feet.

Aurelius, which owns Hanse, picks up two models and Sealine brand out of administration

The future of Sealine lies overseas, it was revealed today, as a European investment company emerged as the buyer of the Sealine brand and its 380 and 450 models.

The company, Aurelius , described as a “pan-European investment holding” company, is also parent to Hanse Group , the German maker of Fjord motor boats and Hanse yachts .

Aurelius will continue to produce the Sealine 380 , formerly known as the SC35, and the S450 and F450 models overseas and under contract.

Another unnamed entity has picked up the 380 and 450 models that were in production as Sealine went under, and will finish them overseas, a statement from administrators Baker Tilly said.

The intellectual property for the remainder of the Sealine line-up – the F490, C490, T50 and T60 – remains up for grabs, although whoever buys them will not be able to brand them Sealines since the rights to the name have been bought by Aurelius.

The process to sell off the remaining plant, machinery, equipment and stock is now under way, after which the freehold premises in Kidderminster will be sold as well.

Sealine fell into administration in April with the extent of the company’s financial problems revealed in a recent creditors’ report.

The yard made a pre-tax loss of £10 million in the 15 months to March 31, 2013, and it has been reported that creditors are set to lose out on around £20 million still owed by the company, which includes around £1 million owed to staff.

It was also revealed that administrators received 64 expressions of interest from potential bidders and hosted 16 factory visits, although it’s not known how many offers for the yard were tabled.

Acquisition by Aurelius AG

In 2011, Aurelius AG purchased a majority interest from HanseYachts AG founder Michael Schmidt and currently holds 76.77% of issued shares. At present, around 23.23% of shares in HanseYachts AG are freely traded. Shortly after the acquisition, measures were introduced aimed at leading the company into a stable and profitable future over the long term. The first of these measures was to concentrate on its sites in Greifswald, Germany, and Goleniów, Poland, which entailed the closure of its sites in the west of Germany, Norway and France. Within the company, a quality drive was launched with the aim of optimising fixed costs and various processes.

Quality drive

Since the acquisition by Aurelius AG in 2011, a quality drive was launched in all areas of production. Development processes were also professionalised. The introduction of lean production (optimised production and material costs) had a positive impact on production as a whole and the profitability of HanseYachts AG. Year after year, numerous international awards are testament to the outstanding quality of its sailing yachts and motor yachts. Once all the necessary quality assurance and cost reduction measures were in place, the company shifted its focus to growth.

Growth strategy

HanseYachts AG revenue growth for several years in a row and reached a peak value of around 152 million euros in the fiscal 2018/2019. Due to the effects of the Corona pandemic, revenue in the fiscal 2019/2020 declined to circa EUR 128 million. The consequences of the pandemic also had a negative impact on production in the fiscal 2020/21. As a result, turnover declined to circa 121 million euros. In the first quarter of 2021/2022, the company recorded record sales and incoming orders. In the first three months of the fiscal year, HanseYachts AG generated consolidated revenue of around 34 million euros. This implies a 20% increase in turnover compared to the same period of the previous year. With circa 94 million euros, incoming orders are around 52% higher than the previous year's period. It is expected that new models of various brands and innovations will enable future growth.

Multi-brand strategy

HanseYachts AG has adopted a multi-brand strategy, allowing it to address the diverse needs of sailors as well as owners of motor yachts. This is why a further five brands have been added to the portfolio of the founding brand, Hanse over the past five years. Moody was acquired by HanseYachts AG in 2007, expanding the model range to include deck saloon sailing yachts and one aft cockpit yacht. Dehler was acquired in 2009 and appeals to sailors with sporting ambitions. The acquisition of FJORD in 2005 and SEALINE in 2013 allowed HanseYachts AG to enter the market for motor yachts, which is two-and-a-half times bigger than the market for sailing yachts. The RYCK brand recently expanded its brand spectrum in the motorised segment.

The six brands under the umbrella of HanseYachts AG are sold to customers in more than 60 countries all over the world via a network of around 250 dealers. Subsidiaries in key markets are responsible for local sales and marketing. The sailing yachts and motor yachts are showcased at more than 80 boat shows in almost 30 countries. In the wake of the Corona pandemic, most boat shows have been cancelled in 2020 and 2021 and replaced by virtual boat shows and individual yacht demonstrations at local dealerships. The export share of the company is more than 80%. International sales compensate for regional fluctuations in demand.

Sustainability

As the second-biggest manufacturer of sailing yachts in the world, HanseYachts AG is committed to the protection of the oceans and sustainability. In 2016, the shipyard became the first ever to equip one of its series-produced sailing yachts with an electric motor. With E-MOTION RUDDER DRIVE, the drive is integrated in the rudder. This reduces water resistance, which means that the drive offers a range of benefits even if you are just sailing. The yacht is easier to dock because the drive rotates with the rudder. 

Innovation leadership

Innovation is an important growth driver at HanseYachts AG. The company is setting new standards in on-board service and safety by becoming the world’s first manufacturer of sailing yachts and motor yachts to offer a special cloud-based app. This app allows customers can use to call up live data about their yacht, including owner’s instructions and alarms on board. Routine maintenance is logged and monitored in a Digital Service Book, which has a positive impact on the resale value. Since July 2019, all models offered by HanseYachts AG can be equipped with the necessary hardware. For existing customers, the company offers a retrofit package via its online shop and global dealer network.
